Fabrica Inc. ("Fabrica," "we," "us," or "our") respects the privacy of our users ("user" or "you"). These Terms of Service ("Terms") and our Privacy Policy govern your access to and use of our platform. By accessing or using Fabrica, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Acceptance of Terms

By registering for, accessing, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and Fabrica, so it is important that you review them carefully.

2. Modifications to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. If we make material changes to the Terms, we will provide notice by updating the "Effective Date" at the top of this page and posting a notice on our platform. Your continued use of the platform after any such changes have been made will constitute your acceptance of the revised Terms. 3. Access and Use of the Platform

3.1 License Grant
Subject to your compliance with these Terms, Fabrica grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platform solely for your personal, non-commercial purposes. This license does not include any resale or commercial use of the platform or its contents, any derivative use of the platform or its contents, or any use of data mining, robots, or similar data gathering and extraction tools.

3.2 Restrictions on Use
You agree to use the platform only for lawful purposes and in accordance with these Terms. You shall not:

- Use the platform in any way that violates applicable federal, state, local, or international law or regulation.

- Engage in any activity that interferes with or disrupts the platform or the servers and networks connected to the platform.

- Use any data obtained from the platform to develop, train, improve, or support generalized artificial intelligence (AI) and/or machine learning (ML) models without obtaining explicit written permission from Fabrica.

- Attempt to gain unauthorized access to any portion of the platform, other accounts, computer systems, or networks connected to the platform.

- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the platform without express written permission from Fabrica.

4. Integration with Google Workspace APIs

Fabrica's platform may integrate with and utilize Google Workspace APIs to provide its services. By using our platform, you acknowledge and agree that:

- Your use of Google Workspace APIs through Fabrica is subject to Google's Terms of Service, Privacy Policy, and any other applicable agreements or policies set forth by Google.

- Fabrica does not use any data obtained from Google Workspace APIs to develop, train, improve, or support generalized AI/ML models. We strictly limit our use of such data to providing the specific services offered through our platform.

- You are responsible for ensuring that your use of Google Workspace APIs through Fabrica complies with all applicable Google policies and agreements.

5. User Responsibilities

You are solely responsible for maintaining the confidentiality of your account information, including your username and password. You agree to accept responsibility for all activities that occur under your account. If you believe that your account has been compromised, you must immediately notify Fabrica.

You are also responsible for ensuring that all information you provide to Fabrica is accurate, complete, and up-to-date. You agree to promptly update your account information if any changes occur.

6. User-Generated Content

6.1 Ownership of User Content
You retain all rights, title, and interest in and to any content you submit, post, or display on or through the platform ("User Content"). By submitting User Content, you grant Fabrica a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the platform and Fabrica's business.

6.2 Prohibited Content
You agree not to post, upload, publish, submit, or transmit any User Content that:

- Infringes, misappropriates, or violates a third party's intellectual property or privacy rights.

- Is unlawful, harassing, abusive, tortious, threatening, harmful, vulgar, defamatory, false, misleading, trade libelous, obscene, or offensive.

- Promotes racism, bigotry, hatred, or physical harm against any group or individual.

- Contains unsolicited advertising, spam, or other forms of unauthorized solicitation.

- Includes software viruses or malicious code intended to damage or disrupt any systems.

Fabrica reserves the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable in our sole discretion.

7. Termination of Access

We may terminate or suspend your access to the platform without prior notice or liability, for any reason including breach of these Terms. Upon termination, your right to use the platform will cease immediately. Any sections of these Terms that should survive termination—such as intellectual property, warranties, indemnities, and limitations of liability—will remain in effect.

8. Disclaimer of Warranties

The platform is provided "AS IS" and "AS AVAILABLE." Fabrica and its suppliers and licensors disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees that the platform will be uninterrupted, error-free, or meet your expectations. You use the platform at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will Fabrica or its suppliers or licensors be liable for:

- Any indirect, incidental, special, consequential, or punitive damages;

- The cost of substitute products or services;

- Data loss or service interruption;

- Any amount exceeding the fees you paid to Fabrica in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability, so some of the above may not apply to you.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Delaware to resolve any legal matter arising from the Terms or your use of the platform.

We do not share your Google user data with advertisers

We do not transfer your Google user data to external services unless required for platform operations

We do not use your Google user data for purposes beyond providing and improving the platform

• No AI/ML Training
We explicitly do not use any Google user data for:

Developing, training, or improving artificial intelligence or machine learning models

Creating or enhancing any generalized AI capabilities

Any form of data mining or analysis beyond what is necessary for platform functionality

All data processing is performed solely to deliver our integration services. Data is processed:
